Terms and Conditions of Use

Welcome to the Amarantya application (hereinafter, the “App”), developed and distributed by Panta Rei S.r.l. (hereinafter, the “Company”), with registered office at Via Camillo Benso Conte di Cavour, 17 - 30032 Fiesso d’Artico (VE) - Italy, registered with the Venice Business Register, VAT and tax code no. 04219700285.

These Terms and Conditions of Use ("Terms", "Terms and Conditions") govern your relationship with the Amarantya mobile application (the "Service") operated by the Company ("we", "us" or "our").

Please read these Terms carefully before using our Amarantya mobile application (the "Service").

Access to and use of the Service is conditioned on your acceptance of and compliance with these Terms. These Terms apply to all visitors, users, and others who access or use the Service.

By accessing or using the Service you agree to be bound by these Terms. If you disagree with any part of the Terms, then you may not access the Service.

1. Purpose of the App

The App is a scientific tool designed to:

• identify, through images taken by an electron microscope, the microfauna present in activated sludge used in industrial wastewater treatment plants;

• receive automatic microorganism recognition through artificial intelligence models;

• receive information on correct plant management, energy and process efficiency, through qualitative assessment of the Sludge Biotic Index (SBI), which provides insights into cause/effect dynamics resulting from the presence of certain microfauna in the activated sludge used in industrial wastewater treatment plants;

• upload images taken by the user's electron microscope;

• consult a digital scientific library containing information about microfauna present in the activated sludge used in industrial wastewater treatment plants;

• store your images and related results in your user profile;

• receive virtual assistance through in-app queries;

• receive remote support by directly contacting qualified experts for technical and scientific training and information.

2. Registration and User Account

To access the content and features of the App, registration by entering personal data is required. The user is responsible for the accuracy of the information provided and the security of their login credentials.

When you create an account with us:

• you are required to provide us with information that is always accurate, complete, and up to date.

• you are responsible for safeguarding the password that you use to access the Service and for any activities or actions under your password, whether your password is with our Service or a third-party service.

• You agree not to disclose your password to any third party. You must notify us immediately upon becoming aware of any breach of security or unauthorized use of your account.

• you may not use as a username the name of another person or entity or one that is not lawfully available for use, a name or trademark that is subject to any rights of another person or entity other than you without appropriate authorization, or a name that is otherwise offensive, vulgar, or obscene.

• you will not use any robot, spider, crawler, scraper or other automated means or interfaces to access the Service, extract or collect data, or gather personal or other information (such as usernames and email addresses) about users of our Service.

• you will not upload viruses or other harmful code or otherwise compromise the security of the Service.

• you will not attempt to circumvent any content-filtering techniques we employ, nor attempt to access any area or feature of the Service that you are not authorized to access.

• You will not attempt, as this is not allowed, to take screenshots or screen recordings while using protected content of the App.

All information contained in the App's library is the exclusive intellectual property of the Company.

It is forbidden to reuse, reproduce or distribute such content for purposes other than personal use in a scientific, laboratory, or research context.

Failure to comply with the above constitutes a violation of the Terms and may result in the immediate termination of your account on our Service.

3. Personal Data Management

Some users of the App may be located outside the European Economic Area; however, data collected is processed in accordance with EU Regulation 2016/679 (GDPR) and current national legislation on personal data protection. The complete information notice on data processing can be found in the Privacy Notice section of the App.

4. Subscriptions

The App offers two modes of use:

• a free version with basic features (“Amarantya Basic Service”)

• a premium version with additional paid features ("Amarantya Premium Services")

Some parts of the Service (the "Amarantya Premium Services") are billed on a subscription basis ("Subscription/s") in either monthly or annual mode, at the user's choice. To process payment of the Subscription, a Google Play (Android) and Apple App Store (iOS) account is required. Subscriptions are paid in advance on a recurring and periodic basis ("Billing Cycle").

At the end of each billing cycle, the subscription will automatically renew unless auto-renewal is disabled via your Google Play (Android) and Apple App Store (iOS) account at least 24 hours before the end of the current period. You can cancel the subscription renewal at any time through your Google Play (Android) and Apple App Store (iOS) account settings, in which case the subscription will remain valid for the billing cycle you have already paid for.

5. Refunds

By agreeing, you consent to begin using the Amarantya Premium Services immediately after activating the Subscription. This means you will only have 14 days to withdraw from the contract from the date you receive the Subscription confirmation via email, provided that you do not begin using the Amarantya Premium Services during that period. To exercise the right of withdrawal, you must send an email to Amarantya.

6. Price Changes

The Company, at its sole discretion and at any time, may modify subscription fees. Any change to subscription fees will become effective at the end of the current billing cycle.

The Company will provide reasonable prior notice of any change in Subscription fees to give you an opportunity to terminate or continue your Subscription before such changes become effective.

If you do not agree to the new fee or take no action, your subscription will expire at the end of the current billing cycle.

7. Content

Our Service allows you to upload and store images, share and make available certain information, data, photographs, messages, posts, comments, or other material ("Content"). You are responsible for the Content you upload and publish on the Service, including its legality, reliability, and appropriateness.

By uploading images as Content on the Service:

• you grant us the right to use and to not violate third-party rights; as well as a license to use, modify, publicly display, reproduce, and distribute such Content on and through the Service;

• you irrevocably assign intellectual property and usage rights of the images to the Company, which may use them, in anonymized form, to improve and train its artificial intelligence models and for internal research purposes;

• You agree that this license includes the right for us to make your Content available to other users of the Service, who may also use your Content in accordance with these Terms;

• you represent and warrant that: (i) the Content is yours (you own it) or you have the right to use it and to grant us the rights and license as provided in these Terms, and (ii) the posting of your Content on or through the Service does not violate privacy rights, publicity rights, copyrights, contract rights, or any other rights of any person. As a neutral facilitator, the Company is not directly involved in actual interactions between users of the Service. Therefore, the Company has no control over the truth, accuracy, quality, legality, or safety of the posts published by users of the Service. You must always use common sense and judgment in interactions with any user of the Service.

• You agree that the Content you submit, upload, communicate, transmit, distribute, display, use, send, or otherwise make available, and your use of the Service:

  - is true and accurate and not false or misleading;

  - is not threatening, defamatory, inciting to hatred or violence, pornographic, racially or ethnically offensive, violent, discriminatory, obscene, abusive, harassing, intimidating, bullying, libelous, or otherwise illegal, objectionable, or inappropriate;

  - does not infringe or otherwise violate the intellectual property (including copyright), publicity, privacy, or other rights of third parties;

  - is not information you are not legally entitled to disclose (such as confidential or privileged information);

  - does not contain any unsolicited or unauthorized advertising, commercial solicitation, political campaigning, promotional materials, "junk mail," "spam," "chain letters," mass mailings, "pyramid schemes," or any other form of solicitation; and

  - does not contain viruses or other technologies that may damage the Service, the interests, or property of our Service or other Users of the Service.

Failure to comply with the above constitutes a violation of the Terms and may result in the immediate termination of your account on our Service.

8. Copyright Policy

We respect the intellectual property rights of others. It is our policy to respond to any claim that Content posted on the Service infringes the copyright or other intellectual property rights ("Infringement") of any person.

If you are a copyright owner or are authorized on behalf of one, and you believe that a copyrighted work has been copied in a way that constitutes copyright infringement via the Service, you must submit a written notice to the attention of "Copyright Infringement" or to the address contact@amarantya.com and include in your notice a detailed description of the alleged infringement.

You may be held liable for damages (including costs and attorneys' fees) for misrepresenting that any Content is infringing your copyright.

9. Links to Other Websites

Our Service may contain links to third-party websites or services that are not owned or controlled by the Company.

The Company has no control over and assumes no responsibility for the content, privacy policies, or practices of any third-party websites or services. You acknowledge and agree that the Company shall not be responsible or liable, directly or indirectly, for any damage or loss caused or alleged to be caused by or in connection with the use of or reliance on any such content, goods, or services available on or through any such websites or services.

We strongly advise you to read the terms and conditions and privacy policies of any third-party websites or services you visit.

10. Termination

We may terminate or suspend your account immediately, without prior notice or liability, for any reason whatsoever, including without limitation if you breach the Terms.

Upon termination, your right to use the Service will immediately cease. If you wish to terminate your account, you may simply discontinue using the Service.

11. Limitation of Liability

In no event shall the Company, nor its directors, employees, partners, agents, suppliers, or affiliates, be liable for any indirect, incidental, special, consequential, or punitive damages, including without limitation, loss of profits, data, use, goodwill, or other intangible losses, resulting from: (i) your access to or use of or inability to access or use the Service; (ii) any conduct or content of any third party on the Service; (iii) any content obtained from the Service; and (iv) unauthorized access, use, or alteration of your transmissions or content, whether based on warranty, contract, tort (including negligence) or any other legal theory, whether or not we have been informed of the possibility of such damage, and even if a remedy set forth herein is found to have failed of its essential purpose.

12. Disclaimer

Your use of the Service is at your sole risk. The Service is provided on an "AS IS" and "AS AVAILABLE" basis. The Service is provided without warranties of any kind, whether express or implied, including, but not limited to, implied warranties of merchantability, fitness for a particular purpose, non-infringement or course of performance.

The Company, its subsidiaries, affiliates, and its licensors do not warrant that: a) the Service will function uninterrupted, secure, or be available at any particular time or location; b) any errors or defects will be corrected; c) the Service is free of viruses or other harmful components; or d) the results of using the Service will meet your requirements.

13. Governing Law

These Terms shall be governed and construed in accordance with the laws of Italy, without regard to its conflict of law provisions.

Our failure to enforce any right or provision of these Terms will not be considered a waiver of those rights. If any provision of these Terms is held to be invalid or unenforceable by a court, the remaining provisions of these Terms will remain in effect. These Terms constitute the entire agreement between us regarding our Service, and supersede and replace any prior agreements we might have between us regarding the Service.

14. Changes

We reserve the right, at our sole discretion, to modify or replace these Terms at any time. If a revision is material, we will try to provide at least 30 days’ notice prior to any new terms taking effect. What constitutes a material change will be determined at our sole discretion.

Changes will take effect from the time they are published on the App. Users are required to periodically check the Terms for updates.

By continuing to access or use our Service after those revisions become effective, you agree to be bound by the revised terms. If you do not agree to the new terms, please stop using the Service.
